These Terms & Conditions (“Terms”) govern access to and use of the websites, CRM platform, digital tools, software features, and related services provided by APROFI USA (“APROFI,” “we,” “us,” or “our”).
By accessing, purchasing, subscribing to, or using APROFI services, you agree to these Terms.
1. Scope of Services
APROFI provides business support services, CRM organization and client management systems, automation tools, communication tools, operational support, and other business-related solutions.
Specific services, pricing, features, and deliverables may be described in separate proposals, subscriptions, invoices, service agreements, or order forms.
2. Account Responsibilities
Certain APROFI services require a user account.
Users are responsible for:
Providing accurate and current information
Maintaining the confidentiality of login credentials
Controlling access to their accounts
Maintaining accurate account and billing information
All authorized activity conducted through their accounts
Users should notify APROFI promptly if they suspect unauthorized access to their account.
3. CRM Platform
APROFI may provide customers access to a CRM platform containing features such as:
Contact and lead management
Sales pipelines
Calendars and appointment scheduling
Forms
Workflows and automations
Email and SMS communications
Customer follow-ups
Reporting
Integrations
Other business management tools
Available features may vary according to the customer's plan or service package and may be added, modified, limited, or discontinued as our services evolve.
4. Customer Data
Customers retain ownership of the business and customer data they submit to the CRM.
By using APROFI's services, customers authorize APROFI and its technology service providers to store, process, transmit, and otherwise handle such information as reasonably necessary to provide and support the services.
Customers are responsible for ensuring that they have the legal right and necessary permissions or consent to collect, upload, process, and communicate with individuals whose information is entered into the CRM.
5. Email, SMS and Communications
APROFI's CRM services may provide tools that allow customers to send email, SMS, telephone, automated, and other electronic communications.
Customers are responsible for complying with applicable laws and requirements governing these communications, including obtaining required consent and honoring unsubscribe and opt-out requests.
APROFI may restrict or suspend communication functionality when reasonably necessary to prevent spam, fraud, abuse, unlawful messaging, or violations of telecommunications requirements.
6. Acceptable Use
APROFI services may only be used for legitimate and lawful business purposes.
Users may not use the platform to:
Send spam or unauthorized communications
Engage in fraudulent, deceptive, or illegal activity
Upload malware or harmful content
Violate privacy or intellectual property rights
Attempt unauthorized access to accounts or systems
Interfere with the operation or security of the platform
Engage in activities prohibited by applicable law
APROFI reserves the right to restrict or suspend access when reasonably necessary to protect the platform, APROFI, its customers, technology providers, or third parties.
7. Third-Party Services and Technology
APROFI's services may rely upon or integrate with third-party technology providers, communication providers, hosting services, payment processors, applications, APIs, and other external platforms.
Certain features may therefore depend upon services outside APROFI's direct control.
APROFI is not responsible for interruptions, outages, restrictions, policy changes, or service failures caused solely by independent third-party providers.
8. Fees and Payments
Certain APROFI services require payment.
Pricing, subscription fees, setup fees, billing frequency, usage charges, and other applicable costs will be disclosed through the applicable service agreement, order, invoice, or subscription.
Customers are responsible for maintaining valid payment information and paying all applicable charges when due.
Failure to make required payments may result in suspension or termination of services.
9. Subscription Renewal and Cancellation
Certain CRM services may be provided on a recurring subscription basis.
Unless otherwise specified in the applicable service agreement or subscription, recurring services may continue until canceled.
Customers are responsible for requesting cancellation according to the cancellation requirements applicable to their service.
Cancellation does not automatically eliminate outstanding balances or charges incurred before the effective cancellation date.
10. Suspension and Termination
APROFI may suspend or terminate access to services for reasons including:
Nonpayment
Violation of these Terms
Fraudulent or unlawful activity
Abuse of communication services
Security risks
Misuse of the platform
Activities that may negatively affect APROFI, its technology providers, or other users
Where reasonably possible, APROFI may provide notice before suspension or termination.
11. Intellectual Property
The APROFI name, branding, website content, designs, materials, documentation, and proprietary business resources are owned by APROFI or used under appropriate authorization.
Third-party software, trademarks, integrations, and technologies remain the property of their respective owners.
Access to APROFI services does not transfer ownership of intellectual property to the customer.
12. Service Availability
APROFI works to provide reliable access to its services but does not guarantee that the platform will operate without interruption or error.
Maintenance, internet disruptions, technical issues, third-party outages, security events, updates, or circumstances outside APROFI's reasonable control may affect service availability.
13. Disclaimer
APROFI provides business systems, technology tools, operational support, and related services.
Unless expressly stated in a separate written agreement, APROFI's services do not constitute legal, tax, financial, accounting, or other regulated professional advice.
Customers remain responsible for their own business decisions and legal compliance.
14. Limitation of Liability
To the fullest extent permitted by applicable law, APROFI will not be liable for indirect, incidental, special, consequential, or punitive damages resulting from the use of or inability to use its services.
To the fullest extent permitted by law, APROFI's total liability relating to the services will not exceed the amount paid by the customer to APROFI for the applicable service during the six months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
15. Changes to These Terms
APROFI may update these Terms periodically to reflect changes to our services, technology, business practices, or applicable requirements.
Updated Terms will be posted on this page with a revised “Last Updated” date.
Continued use of APROFI services after an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.
16. Governing Law
These Terms are governed by the laws of the State of Texas and applicable federal laws of the United States, unless otherwise required by applicable law.
Any dispute relating to these Terms or APROFI services will be handled in accordance with applicable law and any additional dispute provisions contained in a separate written agreement between APROFI and the customer.
